Your Privacy Rights
Necix may be the Controller or Processor of your personal data provided to us by you or collected by us from you during your use of the website and/or applications, as outlined below. If you use the Necix service, you consent to this policy and the use/sharing of your personal data as described herein. You have the choice to opt-out of sharing your data, as described below, and control how we use and share your data.
Information Collected and Received
In general, Necix receives and collects all information you provide via the Necix website and/or applications including, but not limited to, user name, password, first and last name, phone number, email address, street address, gender, occupation, interests, and information relating to a potential gift recipient. Information can also be provided by corresponding with us by phone, e-mail, live-chat or otherwise. You can choose what information you want to share with Necix, however if you choose to withhold any personal data requested by us, it may not be possible for you to gain access to certain parts of the Necix website and/or application. Necix does not require You to include sensitive information (e.g. racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union memberships, genetic data, biometric data, data concerning health or data concerning sexual orientation). In the event that you provide such sensitive information as listed above you acknowledge that you have provided Necix explicit consent to receive such information. Necix also collects information on the pages you access and other information you may volunteer, such as survey information. Necix may also collect user location information, as further described in the “Global Positioning System” paragraph below.
Lawful Basis for Processing
We will only collect and process your personal data where we have lawful basis. Our lawful basis include consent (where you have given it), where processing is necessary for the performance of a contract with you, and for the purposes of our legitimate interests or the legitimate interests of our third parties, provided that such interest does not outweigh your rights and freedoms. Examples of legitimate interest include but are not limited to: (i) complying with applicable law, (ii) protecting against security or other threats, (iii) administration of our business interests, including improvements and enhancements of our business, and (iv) customer relationship issues.
Your Rights: Access, Correction, Deletion
We retain the personal data that you provide to us when you registered with the Necix website and/or application or any other information that you volunteered while using the website and/or application for (i) as long as your account is active or (ii) otherwise for a limited period of time as long as we need to fulfill the purposes for which we have initially collected it, unless otherwise required by law. We retain any information provided as described in the Uses of Information below.
You have the right to request access to the information that Necix has on you. You can do this by contacting us at email@example.com. In order to comply with your request, we may have to verify your identity. If you believe that the information that we have about you is incorrect, you are able to contact us at firstname.lastname@example.org with the change request. Any data that is no longer needed for the purposes specific below will be deleted. You have the right to request the deletion of any personal data that we have on you. If you wish to do so, please contact us at email@example.com. Note that Necix may not be able to delete any depersonalized data on you.
How We Use Your Information
Necix uses the information that we collect in order to operate and maintain our website and/or applications, and/or any other services provided to you. Necix also uses your information in order to (i) send you marketing communications, (ii) respond to your questions and concerns and (iii) help our partners to improve their online offerings.
Necix may use your IP address to help diagnose problems with Necix’s server and to administer Necix’s web site. Your IP address may also be used to help identify you and your online profile and to gather broad demographic information.
How We Share Your Information
(a) Personally, Identifiable Information. Necix will never sell your email address or any other personally identifiable information, to any third party without your permission. We may store personally identifiable information in locations outside the direct control of Necix (for example, on servers or databases co-located with hosting providers). Any personally identifiable information you elect to make publicly available on our websites and/or applications (such as posting comments, reviewing items, etc.) will be available to others. Except as described in this Section, we will not disclose your personally identifiable information to any third party except consultants working on our behalf, without notifying you of our intent to share the information and giving you an opportunity to prevent your information from being shared. From time to time, we may partner with companies based on the interests of our users. These partner companies will never see your email address or any other information that could identify you or be used to contact you directly.
(b) Contact and Demographic Information. The Necix site registration form may require users to give Necix contact information (such as your name, phone number, and email address) and demographic information (such as your zip code, age, or income level). Necix uses your contact information from the registration form to send you information about Necix and promotional material from some of Necix’s partners. Your contact information may also be used to contact you when necessary. Necix may use demographic and/or profile data to tailor your experience on the Necix website and/or applications, show you content that Necix thinks you may be interested in, and display content according to your preferences.
(c) Aggregate Data. We may share demographic and profile data with third parties ONLY on an aggregate basis. Furthermore, Necix shall have the right to retain records of all data pertaining to use of the website and applications including, but not limited to, usage, activity logs, and click-throughs. Necix may disclose such data to third parties provided it is grouped with other Necix users’ data and is presented in an aggregate form.
(d) We May Be Required to Share Your Information. Necix reserves the right to disclose information when required by law, such as by a subpoena or other legal proceedings. Necix may also disclose your information if we reasonably believe it necessary to (i) comply with requests of law enforcement or other applicable law; (ii) to enforce any agreement between you and us; (iii) to protect the security and integrity of our site, applications, or services; and/or (iv) to protect us, our users or others.
(e) What Happens in the Event of a Change of Control: We may be involved with an acquisition or divestiture of our business, products or services. Information we maintain including names and email addresses, and other information related to the Necix service may be sold or transferred in connection with such transaction. We may also sell, assign or otherwise transfer such information in connection with a sale of all or substantially all of our business or assets. You will be notified via email and/or a notice on our site of any applicable change in ownership or uses of your information.
(f) Behavioral Targeting / Re-Targeting. We allow advertisers to display advertising on our sites and applications. Our advertisers may use technology such as cookies to gather information about your activities on multiple sites in order to provide you advertising based upon your activities and interests. The only way to opt out of the collection of any information through cookies or other tracking technology is through the settings in your browser or mobile device. (g) Testimonials. We may also disclose, on an anonymous basis, statements made by our users. However, with your consent, we may post your testimonial along with your name. If at any point you wish to update or delete your testimonial, please contact us at firstname.lastname@example.org.
How We Store and Process Your Information
The information collected by Necix may be processed and/or stored in the United States, European Union Member Nations, Canada, or any other country in which Necix or its affiliates or service providers maintain operations. Necix may transfer information that we collect, including personally identifiable information, to affiliated entities, or to other third parties across borders and from your country or jurisdiction of domicile to other countries or jurisdictions. If you are located in the European Union or other regions with laws restricting transferring of data, please note that we will comply with laws applicable to us.
How We Protect Your Information
Necix is concerned with protecting your privacy and data, and therefore we use industry-standard technologies when transferring and receiving consumer data exchanged between Necix and other companies to help ensure its security. This site has security measures in place designed to protect the loss, misuse and alteration of the information under Necix’s control. Necix’s servers are backed up regularly and protected by security systems. However, we cannot ensure or guarantee the security of any information you transmit to us or guarantee that your information on the Necix service may not be accessed, disclosed, altered or destroyed by breach of any of our industry standard physical, technical or managerial safeguards. If you have any questions about security on our website and/or application, you can contact us at email@example.com. We may use an outside help platform, and a credit card processing company to bill you if you purchase services. These companies do not retain, share, store or use personally identifiable information for any other purposes.
Accessing and Updating Your Information
To the extent provided by the law of your jurisdiction, you may (i) have the right to access certain personal information we maintain about you and request details about how we process it, (ii) request certain information regarding our disclosure of personal information to third parties for their direct marketing purposes, (iii) request that we update or correct inaccuracies in that information, (iv) object to our use of your personal information, (v) ask us to block or delete your personal information from our database, and (vi) request to download the information you have shared on the Necix website and/or application. You may make these requests by emailing us at firstname.lastname@example.org. Any such requests are subject to the protection of other individuals’ rights and applicable law. Additionally, to help protect your privacy and maintain security, we may take steps to verify your identity before granting you access to the information. To the extent permitted by applicable law, a charge may apply before we provide you with a copy of any of your personal information that we maintain.
necix.biz does not knowingly collect any information from anyone who we know to be under the age of 13. If you are under the age of 18, you should use this website only with the involvement of a parent or guardian and should not submit any personal information to us. If we discover that a person under the age of 13 has provided us with any personal information, we will use commercially reasonable efforts to delete such person’s personal information from all Necix systems.
Notwithstanding the foregoing, for any sessions of Camp Necix (camp.necix.biz), we may collect personal information such as age range, first name, and T-shirt size from participating campers under the age of 13, strictly for the purposes of providing virtual summer camp activities and associated content. Necix does not condition any child’s participation in any Camp Necix activities on disclosure of more information than is reasonably necessary to participate in that activity. By signing up for Camp Necix, parents give consent to our collecting this information, and have the right to review the information we collect at any time.
Do Not Track Requests
Your web browser may have a setting that allows you to automatically send a “Do Not Track” message to the websites you visit. Necix does not currently have technology to respond to such requests.
Necix may create links to other web sites. Necix will make a reasonable effort to link only to sites that meet similar standards for maintaining each individual’s right to privacy. However, many other sites that are not associated or authorized by Necix may have links leading to our site. Necix cannot control these links and Necix is not responsible for any content appearing on these sites or the privacy practices of such sites.

All Gift purchases shall be made through the use of “Necix Dollars,” which are credits to your account that are either purchased by you from Necix or provided to you in connection with a promotional offer or through a cancellation or refund from time to time. Necix Dollars are not refundable, transferrable, or exchangeable and can only be used on the Services to send Gifts to Recipients and have no other utility. Necix Dollars are not gift cards, and do not reflect a cash value or balance of US Dollars or any currency.
When a Recipient desires to receive a Gift, such Recipient must visit our website, select the applicable Gift, and provide a valid shipping address within the continental United States. The Recipient is responsible for providing accurate and complete delivery information to receive Goods. Should a selected Gift be no longer be available, Necix will attempt to notify the Recipient, at which time the Recipient may choose to receive a substitute Gift. Once the Recipient exercises the Gift, it may not be canceled or used by any other party. If a Recipient declines a Gift, the Necix Dollars correlating to the price of such Gift will be credited to your account. A Gift may only be exercised by a Recipient directly through our website and cannot be exchanged for cash, in whole or in part, unless required by law.
All Gift selections are non-reversible. Gifts may not be returned unless they are deemed defective upon receipt by the Recipient. Any such returns must be coordinated directly with Necix. Necix disclaims all liability for any act or decision by a Recipient to exercise or refuse to exercise a Gift, for any other act or omission of any Recipient, or for any lost, stolen, or misdirected Gifts.
SECTION 7. ACCURACY OF BILLING AND ACCOUNT INFORMATION
You agree to provide current, complete and accurate purchase and account information for all purchases made through the Service. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed. You may not share your account or password with anyone. We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. We may, but have no obligation to, monitor, edit or remove Content within the Service that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property rights or these Terms of Service.

SECTION 10. SOCIAL MEDIA CONTENT POLICY
In addition to any rights we may have in Your Content or Comments, by posting content, including but not limited to photographs, videos, comments, and your applicable social media handle to Necix-labeled social media, posting such content to your social media accounts using the tag #sharemyNecix, or otherwise associating such content with the tags #sharemyNecix or other hashtags sponsored or affiliated with Necix (“Social Media Content”), you grant Necix and any of its third-party content management providers (collectively, the “Licensing Parties”) a perpetual, irrevocable, royalty-free, non-exclusive, transferable, sublicensable right and license to display, copy, publish, distribute, transmit, print, create derivative works from, alter, edit and/or use your Social Media Content in any manner to be determined in Necix’s sole discretion, including but not limited to on webpages and social media channels operated by Necix, and for other marketing and promotional purposes, in any media now or hereafter known, with no obligation to you whatsoever. To the extent your social media username, real name, image, appearance, voice, likeness, caption, location or other identifying information (“Identifying Information”) are included as part of your Social Media Content, you hereby grant the Licensing Parties the right and license to use such Identifying Information in connection with any use of your Social Media Content. We will make commercially reasonable efforts to credit you for any such Social Media Content by posting your handle or byline, however we make no assurance to do so and you agree that we are not required to do so.
When you use the hashtag #sharemyNecix or other hashtags sponsored or affiliated with Necix, you represent and warrant that (i) you own all rights in and to your Social Media Content, or are not aware of any third-party rights that must be obtained to grant the Licensing Parties the rights provided herein; (ii) all person(s) appearing in your Social Media Content have granted permission for the uses and rights described herein; (iii) you are of legal age to consent to this agreement; and (iv) you are not aware of any reason why the use of your Social Media Content by the Licensing Parties as described herein will violate the rights of any third party or any law. You agree you will not post or encourage others to post Social Media Content that is unlawful, harassing, defamatory, obscene, libelous, or otherwise objectionable.
SECTION 11. OWNERSHIP
Except with respect to Your Content, you acknowledge and agree that, as between you and Necix, Necix owns all rights, title and interest (including all intellectual property rights) in the Service and all Content and other materials within the Service. The Service is protected by U.S. and international copyright, trademark, patent and other intellectual property laws and treaties. Either reserve all rights not expressly granted to you.

SECTION 15. SELLER TERMS
If you use the Service to sell your products or goods, in addition to the remainder of the Terms the following terms and conditions shall also apply:
- Fees. (1) We charge sellers a recurring platform fee (the “Platform Fee”) plus a fee on each transaction made on the Service (the “Transaction Fee”), as described at https://www.Necix.com/sell/pricing/ (collectively the “Fees”). You agree to pay all Fees. The Transaction Fee amount will be assessed on the gross order amount, including shipping and tax (if applicable). Transaction Fees will be reflected in your payment account and will be deducted from the total amount of the payment at the time the payment is considered complete. We reserve the right to modify the Transaction Fee at any time. In the event of any partial or full refunds credited back to a buyer, the Transaction Fee and other applicable fees may be recalculated based on the adjusted sale price as described at https://support.Necix.com/support/solutions/articles/43000495424-fees-on-Necix; (2) You are solely responsible for determining any sales, use privilege, gross receipts, restaurant, excise or other tax due in connection with the sale of your products on the Service and shall pay all such taxes and other amounts that it may owe as required by applicable law or regulation; and (3) Necix does not offer payment processing services. By using a third-party payment processing service, you may also be subject to an agreement with the third party, including payment of applicable fees. If we receive notice that Your Content (defined below) or activity violates a third party’s service agreement, we may at our sole discretion take action against your account to comply with their policies. Such actions may include canceling a transaction, disabling listings from your shop, suspending your selling privileges, or removing certain payment methods.
- Buyer Disputes, Refunds, and Reimbursement. (1) You agree to resolve any disputes directly with a buyer. We reserve the right, in our sole discretion, to seek reimbursement from a seller in any of the following circumstances: (a) we provide a refund to a buyer because a seller did not promptly deliver the goods or we otherwise determine that a refund is warranted in a particular circumstance, (b) we discover erroneous or duplicate transactions related to a seller, (c) we receive a chargeback from a buyer’s credit card issuer or reversal of payment for the amount of a buyer’s purchase from a seller, or (d) a seller does not act in accordance with the Terms or any policy thereunder. We may obtain reimbursement of any amounts owed by a seller to Necix by deducting from future payments owed to the seller, reversing any credits to the seller’s payment account balance, charging the seller’s credit card on file, charging the seller’s bill, or seeking reimbursement from the seller by any other lawful means, including by using third-party collections services. You authorize us to use any or all of the foregoing methods to seek reimbursement. (2) Additionally, we reserve the right to (a) assist end customers with account management, including but not limited to subscription cancellation, change, and update, and (b) delete, alter, or rename any store that has an expired free trial.
- Relationship of the Parties. The relationship of the parties established hereby is that of independent contractors.
- Modifications to the Service and Prices. Prices for our products or access to the Service are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
- Optional Tools. We may provide you with access to third-party tools over which we neither monitor nor have any control nor input (the “Optional Tools”). You acknowledge and agree that we provide access to such Optional Tools ”as is”, “as available”, and with all faults without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of Optional Tools. Any use by you of Optional Tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which Optional Tools are provided by the relevant third-party provider(s). We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). - Retaining Your Content. To the extent you have made Your Content accessible to others through the Service, you acknowledge and agree that we may continue to make Your Content, and associated Content, accessible to others through the Service even after you have deleted your user account, removed your check-out functionality, or “un-claimed” your listing page. If a listing page does not have check-out functionality, it will remain a community page where users can provide information and reviews related to the subscription box. You acknowledge and agree that as between you and Necix all User Content, including, but not limited to, reviews, remain sole property of Necix and will remain on this “community” listing page.
SECTION 16. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
WE DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF OUR SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
YOU AGREE THAT FROM TIME TO TIME WE MAY REMOVE THE SERVICE FOR INDEFINITE PERIODS OF TIME OR CANCEL THE SERVICE AT ANY TIME, WITHOUT NOTICE TO YOU.

IN NO CASE SHALL Necix OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICE OR ANY PRODUCTS PROCURED USING THE SERVICE, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICE OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICE OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
SECTION 17. INDEMNIFICATION
You agree to indemnify, defend and hold harmless Necix and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim, demand, loss, damage, cost, liability and expense, including reasonable attorneys’ fees, resulting from or arising out of (1) your violation of these Terms of Service (including the documents incorporated by reference herein), any law or regulation, or any rights (including intellectual property rights) of another party, (2) Your Content, or (3) your use of the Service.
SECTION 18. SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

Any prevention of or delay in performance by Necix hereunder due to labor disputes, acts of god, governmental restrictions, enemy or hostile governmental action, fire or other casualty or other causes beyond its reasonable control shall excuse the performance of its obligations for a period equal to the duration of any such prevention or delay.
SECTION 21. GOVERNING LAW
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Texas, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods is specifically excluded from application to the Terms.
SECTION 22. BINDING ARBITRATION AND CLASS ACTION WAIVER
ALL CLAIMS (AS DEFINED IN THE PREAMBLE) SHALL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT (DEFINED FOR THE PURPOSES OF THE TERMS AS A COURT OF LIMITED JURISDICTION THAT MAY ONLY HEAR CLAIMS NOT EXCEEDING $5,000) IF YOUR CLAIMS ARE WITHIN THE COURT’S JURISDICTION. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED.
The arbitration shall be conducted by the American Arbitration Association (AAA) under its then-applicable Commercial Arbitration Rules or, as appropriate, its Consumer Arbitration Rules. The arbitrator will, among other things, have the power to rule on his or her own jurisdiction, including any objections with respect to the existence, scope, or validity of the arbitration agreement or to the arbitrability of any Claims. The arbitration shall be conducted in the English language by a single independent and neutral arbitrator. For any hearing conducted in person as part of the arbitration, you agree that such hearing shall be conducted in Austin, Texas or, if the Consumer Arbitration Rules apply, another location reasonably convenient to both parties with due consideration of their ability to travel and other pertinent circumstances, as determined by the arbitrator. The decision of the arbitrator on all matters relating to the Claim shall be final and binding. Judgment on the arbitral award may be entered in any court of competent jurisdiction.
WE EACH AGREE THAT ALL CLAIMS (AS DEFINED IN THE PREAMBLE) SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION, ARBITRATION OR OTHER SIMILAR PROCESS AND EXPRESSLY WAIVE ANY RIGHT TO HAVE A CLAIM DETERMINED OR RESOLVED ON A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE BASIS. IF FOR ANY REASON THE PROVISIONS OF THE PRECEDING SENTENCE ARE HELD TO BE INVALID OR UNENFORCEABLE IN A CASE IN WHICH CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE CLAIMS HAVE BEEN ASSERTED, THE PROVISIONS OF THIS SECTION 21 REQUIRING BINDING ARBITRATION SHALL LIKEWISE BE UNENFORCEABLE AND NULL AND VOID. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, WE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT SUCH CLAIM SHALL BE BROUGHT ONLY IN A COURT OF COMPETENT JURISDICTION IN AUSTIN, TEXAS. YOU HEREBY SUBMIT TO THE PERSONAL JURISDICTION AND VENUE OF SUCH COURTS AND WAIVE ANY OBJECTION ON THE GROUNDS OF VENUE, FORUM NON-CONVENIENS OR ANY SIMILAR GROUNDS WITH RESPECT TO ANY SUCH CLAIM.
Notwithstanding anything to the contrary, we may each may seek injunctive relief and any other equitable remedies from any court of competent jurisdiction to protect our intellectual property rights, whether in aid of, pending or independently of the resolution of any dispute pursuant to the arbitration procedures set forth in this Section 22.
If we implement any material change to this Section 22, such change shall not apply to any Claim for which you provided written notice to us before the implementation of the change.
